1. Domain Registration & Ownership

All domain names registered, provisioned, or otherwise supplied through Esadax’s platform remain the sole and exclusive property of Esadax unless explicitly stated otherwise in a signed written agreement.

By subscribing to or using services that involve domain registration or usage, clients are granted a limited, non-exclusive, non-transferable, and revocable license to utilize the associated domain(s) for the duration of their active service agreement with Esadax.

This license does not confer ownership, nor does it constitute a sale or permanent assignment of the domain. Esadax retains all rights, title, and interest in the domain, including the right to modify, transfer, or reclaim domain usage upon termination of the client’s service.

2. License Termination

The domain usage license is automatically revoked upon any of the following:

• Cancellation or expiration of the client’s hosting or service agreement
• Non-renewal of the associated subscription
• Termination of service due to violation of our Terms of Service or Acceptable Use Policy
• Any breach of payment obligations or unresolved billing issues

Upon revocation of the license, Esadax reserves the right to suspend or permanently remove access to the domain and any associated web content, email services, DNS records, or platform functionality, without prior notice.

3. Domain Transfer Requests

Clients may request a transfer of ownership of the domain to an external registrar or account under the following conditions:

• The request is made in writing by the account owner or authorized contact
• The client’s account is in good standing, with no outstanding balances
• The domain is not subject to any active disputes, holds, or third-party claims
• Such a transfer does not conflict with any legal, regulatory, or contractual obligations of Esadax

Approval of transfer requests is at Esadax’s sole discretion. A domain transfer fee may apply depending on administrative overhead, domain value, or contractual terms.

4. Domain Buyout Policy (Optional Transfer of Full Ownership)

Clients who wish to permanently acquire full ownership of a domain registered by Esadax may request a domain buyout, subject to:

• A buyout fee (starting at €XX, depending on the domain)
• Eligibility as defined in Section 3 above
• Execution of a formal domain assignment agreement
• Agreement to assume full legal and administrative responsibility for the domain post-transfer

Esadax is not obligated to accept a buyout request and reserves the right to decline for business, legal, or technical reasons.

5. Trademark & Intellectual Property Disclaimer

Clients are solely responsible for ensuring that any domain name they request, register, or use does not infringe upon the trademarks, copyrights, or other intellectual property rights of third parties.

Esadax disclaims all liability for domain-related disputes, including but not limited to infringement claims, UDRP proceedings, or ICANN compliance violations resulting from client-initiated registrations.

6. Governing Jurisdiction

This domain policy is governed by and construed in accordance with the laws of the jurisdiction in which Esadax is legally established. Any disputes arising from domain ownership, licensing, or transfer shall be subject to the exclusive jurisdiction of the competent courts in that location.
